These Sales Terms and Conditions shall rule the selling and purchasing of the products SENTÈZ EUROPA S.L. (hereafter, “SENTÈZ”) markets through its website www.sentez.es (hereafter, the “Website”).

1. Accepting the Terms and Conditions and Accessing the Website

By using the Website services, the user accepts these Sales Terms and Conditions. These are the only Sales Terms and Conditions applicable to the use of the Website, without prejudice to the fact that certain products may have special conditions overruling any other condition.

No registration will be required either to access the Website or to purchase any of the products offered by SENTÈZ.

2. Object

This Website has been developed by SENTÈZ to allow users to buy a great variety of purses.

Upon the selection of SENTÈZ products, the user will have to choose the corresponding model. The purpose of these general conditions is to regulate the selling and purchasing of the products by the Website users.

3. Requirements

The Website allows the user to create an account,, as well as to fill in their information, through an on-line form, in order to place an order on the Website.

In this regard, the user will be responsible for providing their true, accurate, current and complete information.

3.1 User Account:

Users will held complete responsibility upon the use of the account.Thus, users will be responsible for the proper safeguard and confidentiality of the user name and/or password granting access to their account, and agree not to yield, whether temporarily or permanently, its use to any third party and not to allow third parties to access it.

By virtue of the above, users must immediately notify SENTÈZ at info@sentez.es of any misuse of their user name and/or password, as a result of circumstances such as robbery, loss or unauthorized access, so that SENTÈZ may cancel, block or disable them as soon as the account misuse is noticed. If those facts are not communicated, SENTÈZ shall remain exempt of any responsibility that may arise from the misuse by unauthorized third parties of the user names and/or passwords.

4. Use of the Website and Rights Reserved

Users agree to make legal, diligent, honest and proper use of any information or content accessed to through the Website, all under the principles of good faith and in compliance of current laws and these Sales Terms and Conditions.

SENTÈZ reserves the right to unregister users who misuse their account, carrying out activities that are fraudulent or that harm or may harm SENTÈZ.

If SENTÈZ detects any anomaly or if there is well founded evidence that a user is carrying out any fraudulent activities contravening the good faith and these General Sales Terms and Conditions, SENTÈZ reserves the right to unregister such user, and even all users who might have directly or indirectly benefited from these kinds of actions, and to pursue any legal action that might apply. In this regard, SENTÈZ affirms having enabled appropriate mechanisms to detect any possible fraudulent, irregular or malicious action aiming at disrupting the general conditions of use of the account by the users.

SENTÈZ reserves the right not to open an account when there are reasonable and well founded reasons to believe a user has violated these Terms and Conditions.

5. Information about Products and Services

Descriptions of the products are included on the Website for informative purposes only. SENTÈZ agrees to take all measures within its reach to correct the errors and/or omissions there might be as soon as possible after having learned about them.

6. Orders and Sales, and Maintenance Conditions

In order to make a purchase, users must fill in the purchasing form on the Website or through the user account.

Users may cancel or modify their order by e-mail at administracion@sentez.es, free of charge, withing 5 hours from the purchase time or if cancellation or modification is made before 10:00 (CET) within the time of the order placing, i.e., as long as the processing of the order hasn’t started.

Notwithstanding the aforementioned, confirmation of the order cancellation or modification is subject to previous confirmation by SENTÈZ.

If the user decides to cancel or modify the order once its processing has started and courier companies have been notified, cancellation or modification may have an additional charge equal to the shipping fee.

Once the order is complete, the user will have to make the payment through the means listed in point 8 of these Sales Terms and Conditions. Once payment is made, the user will receive an order confirmation by e-mail, including a detail of the purchased products, requested shipping method and delivery address.

6.1 Care and Maintenance:

SENTÈZ manufactures its products with the best-quality leather. Every piece is unique and natural. The handicraft production implies there can not be two purses 100% identical to each other. Possible variations in color, mark or hue should be deemed as normal and not as imperfections. To prevent your SENTÈZ purse to deteriorate over time, we suggest:

· Avoid contact with liquids, creams, make-up or perfume. If in contact with water, apply absorbent paper without rubbing.

· Don’t rub or scrape your purse against rough or corrosive surfaces.

· Keep it in SENTÈZ protective bag and never in a plastic bag.

· Keep it in a humidity-free location.

6.2 Special Care:

Print and Neón lines were made with special pigments on highest-quality natural leather and, due to their color and print processing, must be handled with even more care. Rubbing and humidity must be avoided.

Neón line uses fluorescent leather resulting from a complex handicraft process, which requires applying a special optical white pigment before applying the color. This is why this unique and extremely attractive product has a refractory and dazzling quality. Rubbing the product’s corners against corrosive and rough surfaces can cause a slight and isolated wearing away, so we recommend to handle with special care.

Print line is the result of treating high-quality leather with prints designed by SENTÈZ to turn this purse into an exclusive object.

7. Promotion & Discount Codes, and CLUB SENTÈZ

SENTÈZ reserves the right to include promotion codes for the products, as well as special offers exclusive for CLUBSENTÈZ members, and discount codes. In no case these could be exchanged for money.

The user has the obligation to notify SENTÈZ about any wrongful or fraudulent charge upon the credit card used to purchase at info@sentez.es as soon as possible so that SENTÈZ can take timely actions.

SENTÈZ informs that the special offers it may make are temporary. After the mentioned period of time, it will no longer be possible to acquire products under the conditions set by the special offers, which will be removed from the Website.

8.Payment Methods

SENTÈZ accepts the following payment methods:

•Credit card. SENTÈZ accepts MasterCard, Visa credit, and Visa debit. Your purchase total amount, shipment fees and VAT will be charged to your credit card upon completing the order. Later, an order confirmation message will be sent to the e-mail provided by you. If you cancel your order within the set period of time, we will refund the charge made.

We use your credit or debit card data only when we process the order. Once the transaction is done, data is destroyed. All payments with credit card use a secure server ensuring the confidentiality of personal data traveling along the network by cryptographic techniques.

•PayPal. PayPal’s terms and conditions of use will apply. You can read them on their website.

For security reasons and to avoid a possible fraud, in some cases SENTÈZ may need additional verifications. In such cases, SENTÈZ may contact the user by phone or e-mail to ask for the additional documentation, which must be submitted within 48 hours to validate the order. We are sorry for the inconvenience this process may cause you, but these measures are thought to protect your credit cards.

9. Shipping Terms and Losses

SENTÈZ agrees to deliver the product in perfect condition to the address provided by the user on the order form. The user will be responsible for errors in the delivery when the address provided doesn’t reflect reality, is false or has been omitted.

In all cases, the user must check the product’s good condition in presence of the person making the delivery and must write on the dispatch note any problems that may be detected.

10. Desisting and Veracity of the Shipping Information Provided

If the user were not happy with the products received for their order, according to the Consumer and User Protection Act, the user could fill in the desisting form indicating the products they want to return and all the information needed to make the return. Upon arrival of such communication, SENTÈZ will contact the user within 14 natural days.

To exercise the right to desist, the user will have to notify us to our postal address: Calle San Marcos 37, 28004, Madrid, or by e-mail: administracion@sentez.es. If you want, you can use the desisting form attached as Annex 1 to these General Sales Conditions.

The product must be unused and have all the labels, packaging and —in this case— documentation and original accessories that came with it.

Moreover, SENTÈZ will not be deemed responsible if users send the order to a wrong address. Users will be in charge of the expenses that may arise from returning the order (such as shipping expenses).

10.1 Returns due to Manufacturing Defect

Users can replace or return to SENTÈZ, free of charge, any product presenting a manufacturing defect within 3 days from delivery date.

Users will have 3 days to notify SENTÈZ about their disconformity with the product. After that period, any damage and harm caused to SENTÈZ by the delay in communication will be at the user’s expense.

Replacing products with manufacturing defects will not imply any additional charge for the user. To make the return, the user must contact SENTÈZ within the set period of 3 days at administracion@sentez.es stating the product to be replaced and including a picture and a detailed account of the defects noticed in it.

Upon receiving communication, SENTÈZ will inform the user whether the product will be replaced. If replacement is due, SENTÈZ will explain the user how the defective product will be collected or sent to its offices/warehouses. Once the product is received and the defects are verified, SENTÈZ will give the user a choice to replace it with another product with the same characteristics, unless this option is objectively impossible or disproportionate for SENTÈZ.

In case no other product with the same characteristics can be sent, due to lack of stock, the user may opt to terminate the contract (i.e., the refunding of the amount paid) or to request another model selected by the user. Notwithstanding, if the user selects a new model and the price is different, SENTÈZ reserves the right to pay or charge the difference.

The identical replacement product or the new model chosen by the user will be delivered within the next 5 working days from the date in which SENTÈZ confirms the users the replacement of the defective product or the shipping of the new model.

If the user chooses to return the product, SENTÈZ will refund the total amount paid for its purchase (including shipping expenses). SENTÈZ informs consumers and users that the lead time of the refunding will depend on the payment method used when making the purchase. International taxes will not be refunded.

10.2 Exchange Policy

Users may request exchanging any product, as long as it is in the same conditions as it was delivered and with its original packaging and labels. SENTÈZ reserves the right to accept or refuse such returning depending on the conditions and/or the characteristics of the order. Shipping expenses will not be refunded.

SENTÈZ will give the users two choices to make the product exchange: In person at SENTÉZ store or sending an e-mail with “Change of order” in the subject line (order number or invoice number and name) to administracion@sentez.es.

11. Shipping Costs

For orders over 500 euros within the national territory and Portugal, including Canary Islands, Balearic Islands, Ceuta and Melilla, shipping will be free of charge.

12. Exclusion of Liability

SENTÈZ gives no warranty whatsoever and is not to be held responsible, in any case, for the damage and harm of any kind that might stem from the use of the Website by the users. SENTÈZ is not to be held responsible for, including but not limited to:

· Damages or defects arisen from the lack of due care by the user or from the misuse of the Website.

· The lack of availability, maintenance and effective operation of the Website, excluding, to the maximum extent granted by the current law, any responsibility for damage and harm of any kind that might be caused by the unavailability or the interruption of the Website operation.

· The illegal, negligent, fraudulent, contrary to these Terms and Conditions or to the good faith, use of the Website by the users.

· Force majeure cases, such as the failure, suspension or interruption of the services or the use of the Website as a result of Internet being blocked, actions or omissions by third parties or any other causes or circumstances beyond SENTÈZ’s will that prevent the normal use of the Website.

· Cancellation or suspensions of the Website services due to causes not traceable to SENTÈZ.

· Delays in delivery due to causes unconnected to SENTÈZ.

· Users wanting to make changes and cancellations beyond the terms and periods set by these Conditions.

· Delays in the delivery that might happen due to causes not related to SENTÈZ (customs, weather conditions...) and/or circumstances traceable to third parties.

· How the products purchased through the Website are used.

· The products purchased through the Website are not properly cared or are misused.

In any case, SENTÈZ agrees to solve problems that might arisen and to provide the users with the support needed to find a fast and satisfactory solution.

13. Intellectual and Industrial Property

All rights over the content, design and source code of this Website and, particularly, including but not limited to, all rights over the photos, pictures, texts, logos, designs, brands, commercial names, data included in the Website and any other intellectual and industrial property rights are owned by SENTÈZ or by third parties that have expressly authorized SENTÈZ to use them on the Website.

Hence and according to Royal Legislative Decree 1/1996, of April 12nd, which approves the new text of the Intellectual Property Law, regularizing, clarifying and harmonizing all the current legal provisions on the subject (hereafter, “Intellectual Property Act”), as well as the Brand Act 17/2001, of December 7th, reproduction, transmission, adaptation, translation, distribution, public communication, including any disposal means for public use, of all or part of the Website content, in any medium and by any technical means, is prohibited, without express written authorization by SENTÈZ.

SENTÈZ does not grant any license or authorization for the use of its intellectual and industrial property rights or of any other properties or rights related to the Website. In no case, enabling access to surf the Website by the users is to be construed as a waiver, transmission, license, or total or partial cession of such rights by SENTÈZ .

Any unauthorized use, without prior consent by SENTÈZ , will be deemed as a serious breach of intellectual and industrial property rights and will give rise to the corresponding legal responsiblities.

The Website may have hyperlinks allowing the user to access third parties’ websites. SENTÈZ is not to be held responsible for the content, information or services that might appear on those websites, which will be construed as offered exclusively with information purposes by SENTÈZ, and in no case will imply any relation, acceptance or support between SENTÈZ and the persons or the organizations owning that content or the websites where that content is found.

15.Variations

SENTÈZ reserves the right to perform as many variations deemed necessary to these Sales Terms and Conditions, in which case the users will be notified in advance.

16.Applicable Law and Jurisdiction

These General Conditions will be ruled by Spain laws.
